Client Services Agreement

The short version

By purchasing a FoundScore audit, you're hiring us to measure your AI visibility and give you a plan to improve it. You own your results. We own our methodology. Our scoring system, prompts, and process are confidential — don't share how it works or use it to build a competing product. Everything else is covered below.

1. Parties and scope

This Client Services Agreement (“Agreement”) is between aiFoundRE LLC (“aiFoundRE,” “we,” or “us”) and you (“Client”). By completing payment for any aiFoundRE service, you agree to this Agreement in addition to our Terms of Service and Privacy Policy.

This Agreement governs the delivery of FoundScore audits, action plans, monitoring, coaching, and any related consulting services.

2. Services delivered

Upon purchase, aiFoundRE will provide:

  • —A FoundScore audit measuring your visibility across AI platforms (ChatGPT, Gemini, Google AI, Perplexity, Claude)
  • —A scored report with platform-by-platform breakdown and gap analysis
  • —A personalized action plan with prioritized recommendations
  • —Additional services as specified by your purchased tier (monitoring, coaching, content build-out)

Delivery timelines vary by service tier. One-time audits are typically delivered within 5 business days of receiving your completed onboarding information.

3. Client responsibilities

You agree to provide accurate, complete information during onboarding — including your market area, brokerage, online profiles, and any other requested details. Incomplete or inaccurate information will affect the accuracy of your audit results.

You are responsible for implementing the recommendations in your action plan. We provide the roadmap; execution is yours.

4. Confidentiality

The FoundScore methodology, scoring algorithms, audit prompts, prompt library, platform weighting system, and all related proprietary processes (“Confidential Information”) are trade secrets of aiFoundRE LLC.

You agree not to:

  • —Disclose, share, or publish any Confidential Information
  • —Reverse-engineer, deconstruct, or attempt to replicate the FoundScore methodology
  • —Share the specific prompts, scoring formulas, or platform weights revealed in your report or communications with us
  • —Use Confidential Information to build, advise, or contribute to any competing product or service

This confidentiality obligation survives the termination of this Agreement and has no expiration.

5. Intellectual property

What you own: Your individual audit results, FoundScore, report, and action plan. You may share your score and report for personal marketing purposes — for example, displaying your FoundScore on your website or in listing presentations.

What we own: The FoundScore methodology, scoring rubric, report templates, prompt library, platform weighting system, and all associated intellectual property. These remain the exclusive property of aiFoundRE LLC regardless of any termination or expiration of this Agreement.

You may not reproduce the full report in a competing product, resell our methodology, or represent our work as your own.

6. Data usage

We may use anonymized, aggregated data from your audit to improve the FoundScore methodology, generate industry benchmarks, and enhance our services. No personally identifiable information will be included in aggregated datasets.

Your personal data is handled per our Privacy Policy. We will never sell your individual data or share your audit results with third parties without your consent.

7. Non-solicitation

During the term of this Agreement and for 12 months following termination, you agree not to directly solicit or hire any aiFoundRE contractor, employee, or vendor for the purpose of replicating our services or methodology.

8. Limitation of liability

Our total liability for any claim arising under this Agreement is limited to the fees you paid us in the 3 months preceding the claim. We are not liable for indirect, incidental, or consequential damages, including lost commissions or business opportunities.

9. Termination

Either party may terminate this Agreement at any time. For subscription services, cancellation takes effect at the end of your current billing period. Completed audits are non-refundable.

Sections 4 (Confidentiality), 5 (Intellectual Property), 7 (Non-Solicitation), and 8 (Limitation of Liability) survive termination.

10. Governing law

This Agreement is governed by the laws of the State of New Jersey. Any disputes will be resolved in the state or federal courts in Essex County, New Jersey.

11. Acceptance

By completing payment through our Stripe checkout, you acknowledge that you have read, understood, and agree to be bound by this Client Services Agreement, our Terms of Service, and our Privacy Policy.
